License

ROYALTY FREE LICENSE AGREEMENT

The following is a Royalty Free End User License Agreement between you, or your employer and CustomRedStock.com.

Please read this agreement before ordering any clips from CustomRedStock.com. Digital Files are any images/films, animations, videos, films or other audio/visual representations.

Grant of License:
You are granted a personal, non-exclusive, non-transferable Royalty Free License right to use and modify the digital files subject to certain restrictions.

Single User License:
The Digital Files can only be used on one computer at any time.  You may not rent, lend, sublicense or lease the Digital files to another company, person or entity.  The Digital Files must be for your own use, or for the use of your employer, or client who is the end user.  You must contact CustomRedStock.com if you need to use the Digital Files for multiple users. The term of the license is for the life of the purchaser.

General Use Grant:
The Digital Files may be incorporated into a derivative work such as a feature film, video, broadcast, multimedia, advertisement, live performance, internet website presentation or print project.

Restrictions:
The Digital Files in whole or in part, and any derivative work thereof may not be used, sold, licensed, distributed, reproduced or displayed as template, stock elements, stand alone backgrounds, effects imagery elements, or downloadable files.  The Digital Files cannot be included in any other clip media/stock product, collection library, or set of clips for distribution or resale, even in the event the Digital Files have been altered.

CustomRedStock.com restricts its footage if used in a work that will be reproduced, sold and distributed as DVD’s, Blu-Ray DVD’s, home videos, music videos, or in print material if the Digital Files comprise more than 33% of the length of the finished project, even if layered with other graphics; nor can the main value of the project come from the Digital Files.

The Digital Files may not be used in any way that can defame, malign, slander, libel, or vilify the persons, properties, races, customers, religions, or cultures that appear in the Digital Files.  Nor can the files be used in any manner with or as part of pornographic, libelous, infringing or illegal material.

Credit:
If the Digital Files are used in Films or Broadcast Video products, CustomRedStock.com wishes a credit that says CustomRedStock.com.

Rights:
All Digital Files are copyrighted.  CustomRedStock.com or its licensors are protected by United States copyright laws, international treaty provisions, and other laws.  No intellectual property rights in the Digital Files are transferred to you.  CustomRedStock.com retains all rights not expressly granted in this agreement.

Liabilities:
CustomRedStock.com will not be liable to you for any special, indirect, punitive or incidental damages that arise out of the use of, or inability to use the Digital Files.  CustomRedStock.com’s entire liability is only limited to the amount paid to CustomRedStock.com for the Digital Files.

Indemnity:
You agree to indemnify and hold CustomRedStock.com, its Licensors and the officers, directors, agents and employees harmless from any claims, demands, liability of any kind arising from your use of the Digital Files or from a negligent act, omission, or conduct.

CustomRedStock.com provides Digital Files as they are and warrants the Digital Files to be free from defects for 60 days of delivery.  Your remedy is the replacement of the Digital Files.

CustomRedStock.com gives no rights or warranties with respect to use of names, trademarks, logo types, registered or copyrighted, designs or works of art depicted in any image, and the user must be satisfied that all rights, consents or permission as may be required for reproduction use is secured.  CustomRedStock.com cannot be held responsible for any erroneous or incomplete information.

Disclaimer of Warranties. CUSTOMREDSTOCK.COM MAKES NO WARRANTY, REPRESENTATION OR PROMISE NOT EXPRESSLY SET FORTH IN THIS AGREEMENT.  CUSTOMREDSTOCK.COM DISCLAIMS AND EXCLUDES ANY AND ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, COURSE OF DEALING, USAGE OF TRADE, TITLE AND NON- INFRINGEMENT.

Acknowledgement:
YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT, UNDERSTAND IT, AND HAD AN OPPORTUNITY TO SEEK INDEPENDENT LEGAL ADVICE PRIOR TO AGREEING TO IT. IN CONSIDERATION OF CUSTOMREDSTOCK.COM AGREEING TO PROVIDE A MEANS FOR THE SALE OR LICENSE OF YOUR ACCEPTED CONTENT, YOU AGREE TO BE BOUND BY THE TERMS AND CONDITIONS OF THIS AGREEMENT. YOU FURTHER AGREE THAT IT IS THE COMPLETE AND EXCLUSIVE STATEMENT OF THE AGREEMENT BETWEEN YOU AND CUSTOMREDSTOCK.COM, WHICH SUPERSEDES ANY PROPOSAL OR PRIOR AGREEMENT, ORAL OR WRITTEN, AND ANY OTHER COMMUNICATION BETWEEN YOU AND CUSTOMREDSTOCK.COM RELATING TO THE SUBJECT OF THIS AGREEMENT.

This Agreement will be governed by the laws in force in the state of California.
